Contractor shall receive no employer-provided fringe benefits, including paid leave, healthcare, or retirement plans. 3. COMPENSATION AND PAYMENT Client agrees to pay Contractor as follows: $8500 total fixed fee, payable as follows: 50% upfront deposit upon signing, and 50% upon final milestone delivery and acceptance. Client shall reimburse Contractor only for pre-approved, documented out-of-pocket expenses incurred in direct connection with the Services. 4. INTELLECTUAL PROPERTY & WORK MADE FOR HIRE Contractor agrees that all original works of authorship, designs, software source code, inventions, and improvements created in connection with the Services (collectively, "Deliverables") shall constitute "work made for hire" under the United States Copyright Act. To the extent any Deliverable does not qualify as work made for hire, Contractor hereby irrevocably assigns to Client all right, title, and interest, including copyrights, patents, and trade secrets, worldwide upon full payment of fees due. 5. CONFIDENTIALITY Contractor agrees to hold all non-public, proprietary, or confidential information of Client in strict confidence and shall not disclose or use such information except as strictly necessary to perform the Services. 6. NON-SOLICITATION During the term of this Agreement and for a period of twelve (12) months following termination, Contractor shall not solicit, recruit, or encourage any employee or independent contractor of Client to terminate their relationship with Client. 7. TERM AND TERMINATION This Agreement commences on the Effective Date and continues until completion of the Services, unless terminated earlier by either Party upon 14 days' written notice. Either Party may terminate immediately upon written notice if the other Party commits a material breach. 8. GOVERNING LAW & DISPUTE RESOLUTION This Agreement shall be governed by, and construed in accordance with, the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of this Agreement shall be resolved through binding arbitration or the state/federal courts located in Delaware. 9. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior proposals, negotiations, and understandings.
